1. Acceptance of Terms

By using the Site or engaging my Services, you confirm that you have read, understood, and accept these Terms. If you are acting on behalf of a company or other legal entity, you warrant that you have the authority to bind that entity to these Terms.

I reserve the right to update or modify these Terms at any time without prior notice. The latest version will be posted on this page with an updated "Last updated" date. Your continued use of the Site or Services after any changes constitutes acceptance of the new Terms.

2. Description of Services

I offer the following services, as described on the Site:

• Frontend Web Development: Building responsive, accessible, and SEO‑optimised websites using HTML5, CSS3, JavaScript, React, Tailwind CSS, Bootstrap, and other modern technologies.
• UI/UX Design Systems: Designing user‑centred interfaces, wireframes, prototypes, and component libraries in Figma.
• WordPress CMS Development: Custom WordPress themes, Gutenberg blocks, Elementor customisation, and plugin integration.
• AI Automation & Integration: Implementing AI chatbots, agents, prompt engineering workflows, and API integrations.
• Technical SEO & Performance Optimisation: Improving site visibility, speed, Core Web Vitals, and accessibility.
• Maintenance & Support: Bug fixes, updates, security patches, and ongoing website maintenance.

All Services are provided on a project‑by‑project basis unless otherwise agreed in a separate written contract. Scope, deliverables, timelines, and fees will be detailed in a project proposal or statement of work (SOW) provided to you prior to engagement.

3. Client Responsibilities

To ensure successful project delivery, you agree to:

• Provide clear, accurate, and complete information about your project requirements, brand assets, content, and feedback in a timely manner.
• Respond to requests for approval, clarification, or deliverables within the agreed timeframe to avoid project delays.
• Ensure that all content (text, images, videos, trademarks) you provide does not infringe on any third‑party intellectual property rights.
• Cooperate with me in good faith and provide access to any necessary systems, platforms, or accounts (e.g., hosting, domain, WordPress admin) as reasonably required.
• Review and approve deliverables promptly; delays in approval may result in revised timelines or additional charges.

4. Intellectual Property Rights

4.1. Ownership of Deliverables

Upon full payment of all fees, I assign to you the ownership of the final deliverables specifically created for your project (e.g., source code, design files, custom WordPress themes) as outlined in the SOW. This excludes any underlying tools, libraries, frameworks, or third‑party software that are licensed separately.

4.2. Retained Rights

I retain the right to use any code, design patterns, components, and techniques developed during the project for future work, provided that no confidential or proprietary information of yours is disclosed. I may also showcase the final project in my portfolio, case studies, and social media channels, unless you request confidentiality in writing.

4.3. Third‑Party Assets

Any third‑party fonts, images, icons, plugins, or software used in the project remain the property of their respective owners and are subject to their own licences. It is your responsibility to ensure that you have the appropriate licences for any third‑party assets you provide or request.

5. Fees and Payment

• Project Fees: Fees are typically quoted as a fixed project price or on an hourly basis, as agreed in the SOW. All fees are in USD unless otherwise stated.
• Invoicing: An invoice will be issued upon project commencement or at milestones as defined in the SOW. Payment terms are net 7 days unless otherwise agreed.
• Late Payment: Late payments may incur a finance charge of 1.5% per month or the maximum legal rate, whichever is lower, on the outstanding balance.
• Non‑Payment: In the event of non‑payment, I reserve the right to suspend work on your project and withhold delivery of all deliverables until payment is received in full.

6. Project Timeline & Delivery

• Estimates: Any timelines provided are estimates and may be adjusted due to unforeseen circumstances, client delays, or changes in scope.
• Client Delays: Delays caused by your failure to provide necessary information, feedback, or approvals may result in revised deadlines and, in some cases, additional charges.
• Acceptance: You have 7 business days from the date of delivery to review and accept the final deliverables. If no written objections are received within this period, the deliverables are deemed accepted.

7. Revisions & Scope Changes

The SOW will define the number of revision rounds included. Any additional revisions or changes to the scope beyond the original agreement will be subject to a separate quotation and may extend the project timeline. I will always provide a cost estimate and timeline before proceeding with any out‑of‑scope work.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project ("Confidential Information"). This includes business plans, client data, source code, design concepts, and financial information. Confidential Information shall not be disclosed to third parties except as necessary to perform the Services, or as required by law.

This obligation survives the termination of this agreement. Upon written request, I will return or destroy all Confidential Information in my possession.

9. Warranties and Disclaimers

9.1. My Warranty

I warrant that the deliverables will conform to the specifications in the SOW and will be provided with reasonable skill and care. I will fix any significant defects that affect the core functionality of the deliverables, provided you notify me within 30 days of delivery.

9.2. Client Warranties

You warrant that all materials and content you provide are your own or that you have full rights to use them, and that they do not infringe on any third‑party intellectual property, privacy, or other rights.

9.3. Disclaimer

Except as expressly set out in these Terms, all deliverables and Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non‑infringement. I do not guarantee that the Site or Services will be uninterrupted, error‑free, or free from viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, Jawad Iftikhar Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, arising out of or in connection with the use or performance of the Services, whether based on contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.

My total liability to you, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you for the project giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Jawad Iftikhar Studio and its affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of:

• Your breach of these Terms.
• Your violation of any law or the rights of a third party (including intellectual property, privacy, or publicity rights).
• Any content or materials you provide that infringe on third‑party rights.

12. Termination

Either party may terminate the project at any time by providing written notice. In the event of termination by you without cause, you shall pay for all work performed up to the termination date, plus any non‑refundable deposits or fees. I may terminate the agreement if you breach these Terms and fail to remedy the breach within 10 days of written notice.

Upon termination, all outstanding invoices become immediately due and payable. Sections relating to intellectual property, confidentiality, warranty disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good‑faith negotiation between the parties.

If the dispute cannot be resolved amicably within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Islamabad, Pakistan. Both parties waive any objection to venue or jurisdiction in such courts.

14. Changes to These Terms

I reserve the right, at my sole discretion, to modify or replace these Terms at any time. The most current version will be posted on this page with an updated “Last updated” date. It is your responsibility to review these Terms periodically. Your continued use of the Site or Services after any changes constitutes acceptance of the new Terms.

If a revision is material, I will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at my sole discretion.
